Please try to update your BIOS. It is just a limitation of VirtualBox to depend on VT-x or AMD-V for the 64-bit mode. When VMware started to support the 64-bit guest mode, VT-x / AMD-V was not yet as common as it is now. I'm trying to run 64 bit Ubuntu 8.04.1 …

I was trying to install 64 bit Linux OS. but could not select the 64 bit version from list, as it is not available in the list itself. I hope this version does support 64 bit OS type, and hence putting under GUI issue.

Then VirtualBox does not offer 64 bit guests and doesn't allow increasing the VCPU count. If only you'd have provided VBox.log as mentioned in the Troubleshooting chapter of the manual then we could say a bit more. So far it's just guesswork.
